Julia Schenke and her firm, Dresscode by Julia LLC (Julia), look forward to earning your loyalty. You may have already considered photos, discussions and histories introducing you to Julia. Those presentations have outlined — and various materials hereafter shared will further describe — the ways in which you’ll benefit from Julia’s experience, training and resources.

As your fashion consultant and style coach, Julia will apply customized services uniquely geared to you. Unlike those services, though, these particular pages (these Terms) will apply generally to all of Julia’s clientele. In other words, these Terms contain universally applicable rules that govern your hiring of Julia (the Engagement). For the most part, these rules describe your and Julia’s respective legal rights and legal obligations with regard to the Engagement. So, in the absence of a specific written exception sent by Julia to you, these Terms will override any inconsistent information posted on behalf of, circulated by, or otherwise ascribed to Julia.

1. Without your written consent, Julia will neither post nor otherwise publicize your likeness or any circumstances that identify you. You may of course freely withhold any such consent.

2. The appendix hereto describes the services offered by Julia (Services), the fulfillment of which you and Julia will schedule, as convenient to you and reasonably convenient to Julia.

3. In addition, the appendix hereto delineates the fee schedule applicable to each Service (Fees). Once you and Julia decide which of the respective Services best suit you and your goals, you will authorize Julia to proceed, via confirmation in writing or otherwise. You will then kindly tender payment of the relevant Fee or Fees. To further effect, you will have thereby authorized Julia to bill you for any Service that imply payment at a particular time in the future.

4. You may purchase (freely transferable) gift cards for prepaid Services, recognizing that (a) the value-designation of each card translates to a dollar-for-dollar credit against Fees, (b) the holder of a gift card will enjoy the benefits of that card, regardless of any misjudgment by you in giving that card to any particular person, (c) you (or your beneficiary) will bear the risk of loss of that card, and (d) that card will expire on the fifth anniversary of its issuance by Julia.

5. Services partially entail Julia’s shopping for recommended items and ensembles on your behalf. In the absence of an explicit written directive from you to the contrary, you will have no obligation to accept (and, therefore, no obligation to purchase) any such clothing or accessories.

6. Julia may receive a commission (typically between 2% and 8%) on sales to clientele ordered from Hue & Stripe. In any event, you may of course instruct Julia to shop for items within a particular price range and/or to focus on items that happen to carry bargain prices.

7. Mutual respect and an atmosphere of cordiality must characterize the Engagement. Accordingly, any shameful behavior, spiteful action, cruel statement or similar lapse, if repeated by you, will justify cancellation of the Engagement by Julia. A failure to pay Fees when due will also entitle Julia to cancel the Engagement. In turn, you may cancel the Engagement at will (and without cause or other justification), although, in any such case, you must pay all unpaid sums theretofore accrued, and you must forfeit all Fees whether or not already earned.

8. Julia promises — but can promise no more than — the application of diligently applied and professionally informed effort on your behalf. Julia cannot, therefore, guarantee your ultimate satisfaction with any or all of the Services. Moreover, Julia cannot accept liability for the actions of anyone other than the staff of Julia. In sum, Julia makes no warranty, beyond the representations Julia expressly offers in these Terms and otherwise on Julia’s homepage. Section 9 further limits the scope of redress, should circumstances somehow invite such action.

9. This Section 9 applies, if — despite the qualifiers and disclaimers presented above — (I) you have a claim against Julia connected with (or otherwise resulting from) the Engagement, or (II) Julia has a claim against you connected with (or otherwise resulting from) the Engagement.

(a) If a claim remains unresolved ten days after first asserted in a written notice from one party to the other, you and Julia will adjudicate it via an arbitration proceeding in Oakland County, Michigan, under the auspices, and according to the rules, of the Commercial Division of the American Arbitration Association, with (i) a single arbitrator mutually selected by the parties (or, absent prompt agreement, by the methods of the American Arbitration Association) to hear the claim, (ii) each party to pay one-half of the (market-rate) fees (and related expenses) of the arbitrator, (iii) neither party to engage in more than 30 days of discovery, (iv) neither party to issue more than one interrogatory, (v) neither party to convene a deposition, (vi) the ruling of the arbitrator to constitute a final disposition of the matter, (vii) Michigan law to govern the adjudication and resolution of any dispute, (viii) the ruling of the arbitrator to do no more than apply the Terms (and other relevant written understandings) as written, and (ix) each party to hold the right to enforce the arbitrator’s ruling in any court of competent jurisdiction.

(b) Subject to Subsection 9(c), the award of the arbitrator (i) shall not exceed the Fees paid by you, if you prevail in the dispute, and (ii) shall not exceed the Fees owing by you (and the price of any items acquired, but not paid for, by you), if Julia prevails in the dispute.

(c) In addition to any award granted according to Subsection 9(b), the arbitrator may award the prevailing party the reimbursement of one-half of the arbitrator’s fee and expenses.

10. Cancellation, Rescheduling & No-Show Policy. If you need to cancel or reschedule a scheduled appointment, you must provide Julia with at least forty-eight (48) hours’ notice. Any cancellation or request to reschedule made within forty-eight (48) hours of the scheduled appointment will be subject to a fee equal to fifty percent (50%) of the Fee for the Service booked. If you fail to attend a scheduled appointment without cancellation (“No-Show”), any payment made for that appointment will be applied to the missed appointment and may not be transferred or credited toward a future Service. A new appointment and payment will be required to rebook.
